Terms and Conditions

Welcome to J-Mo's Sweets & More! Thanks for joining our Fundraising Partner Program.

These terms and conditions apply to individuals accessing or using the Program as a merchant ("we" or "merchant") or a partner ("you" or "partner") who refers customers to purchase products or services from the merchant.

By participating in the Program, the Partner agrees to use the Program in the manner specified in, and be bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Partner or participate in the Program in any manner.

Approval or Rejection of Registration

We reserve the right to approve or reject any Fundraising Partner Program registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your registration.

Partner Links and Coupons

Your partner link is automatically generated, but you can also generate a partner link for a specific product or collection. If a person clicks on someone else's referral link and then later clicks on yours, yours is the one that counts.

Partners may or may not be assigned a coupon code, with details and usage clarified on their dashboard. If a customer both clicks on the partner link and uses a coupon code, you will not receive a double commission. If you're not assigned a branded coupon, you're not allowed to promote the coupon.

Partners may also advertise the merchant website through online channels such as Facebook and Instagram, or through offline channels such as classified ads, magazines, and newspapers.

Commissions and Payment

When you refer a customer who makes a purchase on our website, you will receive a commission calculated based on the commission structure. The commission amount depends on your specific program and order value and does not include additional fees such as taxes or shipping costs.

To receive commissions, Partners must specify their payment details in Settings. The payment schedule will be communicated on the Partner Guide page. No commission payment will be made if the Partner does not have an active payment method.

Payments will only be sent for transactions that have been successfully completed and tracked through our cookie-based tracking system. Use of the Fundraising Partner Program is subject to a fair use policy, which gives the merchant the right to review each referral order. Commission statuses are displayed in the Commission tab, and paid commissions are listed in the Payment tab. Transactions that result in chargebacks or refunds will not be paid out.

Marketing Tools

We may share promotional materials, such as banners, logos, or specific collection promotions, through the Marketing Tool tab. You can download these materials or obtain HTML embed codes to share through your promotional channels.

Network

If the Network tab is activated, Partners can invite others to become their downline Partners. If a downline Partner generates an order for the merchant, the upline Partner may also receive a network commission, depending on the merchant's settings.

To invite other Partners into the system, share your network link. Any Partner who clicks that link and signs up will become a downline Partner.

Cookies

We use cookies to track people who have clicked on your link. Customers must allow cookies for us to track their activity.

If a customer does not allow cookies or clears their cookies, we may be unable to track their activity and therefore cannot pay earnings on that activity.

The cookie duration is stated on the Partner registration form. The tracking period begins when a customer clicks on the Partner's link or uses the coupon. Within the cookie period, every order made by that customer on the merchant's website will automatically result in commissions for the Partner, without requiring the customer to click the Partner's link again.

Removal from the Fundraising Partner Program

If a Partner wishes to be removed from the Fundraising Partner Program, they may contact us at hello@grabjmos.com.

User Requirements

To participate in our Fundraising Partner Program, users must meet certain age and ownership requirements. All users must be at least 18 years of age to join. If users are under 18, their Partner Account must be registered and operated by their parent or legal guardian.

Additionally, to receive commissions, users must link their Partner Account to a PayPal account owned and managed by their parent or legal guardian. This PayPal account must also comply with PayPal's terms and conditions. Failure to adhere to these requirements may result in the immediate cancellation of the Partner Account. These requirements are intended to ensure legal compliance and financial responsibility within our Fundraising Partner Program.

Termination Clause

Either party (the Partner or the Merchant) reserves the right to terminate this Partner Agreement under the following circumstances:

  • Violation of any terms and conditions outlined herein.
  • Engaging in unethical or fraudulent marketing practices.
  • Failure to comply with the Merchant's branding and intellectual property guidelines.
  • Engaging in activities that directly compete with the Merchant's products or services during the Partner's participation in the Fundraising Partner Program.
  • Any other valid reasons as determined by the Merchant.

Intellectual Property

Partners are granted limited, non-exclusive rights to use the Merchant's branding, trademarks, and intellectual property solely for the purpose of promoting our products and services. Partners must adhere to the Merchant's guidelines on the use of logos, images, and content, ensuring that they do not misrepresent the brand in any way.

Reporting and Analytics

Partners will have access to performance reports and commission tracking through our platform. These reports will be made available on a regular basis and will include relevant information regarding their promotional activities and earnings.

Liability and Indemnification

Both the Merchant and Partners agree to limit their liability to the fullest extent permitted by law. In the event of any dispute, claim, or legal action arising from the Partner's promotional activities, the Partner agrees to indemnify and hold the Merchant harmless from any resulting damages or legal fees.

Changes to Terms

The Merchant reserves the right to modify these terms and conditions. Partners will be notified of any significant changes in advance. Continued participation in the Fundraising Partner Program after the modifications constitutes acceptance of the revised terms.

Dispute Resolution

In the event of a dispute, both parties agree to engage in good faith negotiations to resolve the matter. If resolution cannot be achieved through negotiation, the parties agree to mediation or arbitration in accordance with the laws of the State of Illinois.

Non-Compete and Non-Disclosure

During the term of this agreement, Partners are prohibited from promoting products or services that directly compete with the Merchant's offerings. Additionally, Partners must maintain strict confidentiality regarding any sensitive business information shared by the Merchant.

Customer Data Handling

If Partners have access to customer data, they are responsible for handling it in compliance with all applicable laws, including data protection and privacy regulations such as GDPR or CCPA.

Customer Support

The Merchant will provide customer support for referrals generated through the Fundraising Partner Program. Partners are not responsible for addressing customer inquiries or issues related to product or service orders.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Any legal actions or disputes arising from this agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within the State of Illinois.

Anti-Spam and Ethical Marketing

Partners are required to engage in ethical marketing practices and must refrain from spamming, deceptive advertising, or any activities that could damage the reputation of the Merchant.

Promotional Restrictions

Partners are prohibited from using promotional methods or channels that are not allowed by the Merchant, including but not limited to content related to adult material, gambling, or illegal activities.

Information Collected from Merchants

When a merchant uses the app, we are automatically able to access certain types of information from their Shopify account, such as email, first name, last name, and shop information (shop domain, shop currency, shop address, etc.). We collect this information to provide our services, including confirming identity, contacting users, providing customer support, and conducting advertising and marketing activities.

Information Collected from Partners

When a Partner signs up to join the Fundraising Partner Program, we collect information to share with the merchant, such as email address, personal information, payment details, and social network information. This information helps the merchant evaluate the Partner's background and potential, process specific activities within the app, and contact the Partner when needed.

Information Collected from Customers

To track referral orders, when customers visit the merchant's website and make a purchase, the UpPromote system collects order information such as order total, order items, and order ID.
